By accessing and using UDF Digital Signage services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Service Description

UDF Digital Signage provides digital signage solutions including:

• Digital display hardware and software
• Content management systems
• Media player solutions
• Technical support and maintenance services
• Custom digital signage implementations

User Responsibilities

Users are responsible for:

• Providing accurate and up-to-date information
• Maintaining the security of their account credentials
• Using the service in compliance with applicable laws
• Ensuring content displayed is appropriate and legal
• Respecting intellectual property rights

Prohibited Uses

You may not use our service:

• For any unlawful purpose or to solicit unlawful activity
• To violate any international, federal, provincial, or state regulations or laws
• To display offensive, inappropriate, or harmful content
• To transmit malware, viruses, or any malicious code
• To infringe on intellectual property rights
• To harass, abuse, insult, or harm another person

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of UDF Digital Signage and its licensors. The service is protected by copyright, trademark, and other laws.

Service Availability

We strive to provide continuous service availability but cannot guarantee 100% uptime. We reserve the right to:

• Modify or discontinue the service with reasonable notice
• Perform maintenance and updates
• Suspend access for violations of these terms
• Refuse service to anyone for any reason

Payment and Billing

For paid services:

• Payment is due according to the agreed billing schedule
• All fees are non-refundable unless otherwise stated
• Price changes will be communicated with 30 days notice
• Failure to pay may result in service suspension

Limitation of Liability

In no event shall UDF Digital Signage, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Indemnification

You agree to defend, indemnify, and hold harmless UDF Digital Signage from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the service or violation of these Terms.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which UDF Digital Signage operates, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
